Terms of Service

These Terms of Service (“Terms”) govern your use of Docipal’s mobile apps, web application, browser extension, and website (together, the “Service”), operated by Docipal (“we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you agree on its behalf and represent that you have authority to do so.

1. The Service

Docipal records patient visits (with your explicit initiation), transcribes them, and generates draft clinical documentation using artificial intelligence, along with related features such as patient and visit management, note templates, and team workspaces.

2. Eligibility and accounts

The Service is intended for licensed healthcare professionals and their staff. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Organization administrators are responsible for managing member access and roles within their workspace.

3. Subscriptions, trials, and fees

• New workspaces include a 14-day free trial. No payment method is required to start a trial.
• After the trial, continued use requires a paid subscription. Individual plans are billed per account; Business plans are billed per provider (clinicians such as physicians, nurses, nurse practitioners, and physician assistants). Non-provider staff seats on Business plans are free.
• Subscriptions renew automatically monthly or annually until cancelled. You can cancel at any time, effective at the end of the current billing period. Fees are non-refundable except where required by law.
• Payments are processed by Stripe. If you purchase through the Apple App Store, Apple’s payment terms also apply to that purchase.
• We may change pricing with at least 30 days’ notice; changes apply from your next renewal.

4. Professional responsibility

Docipal produces drafts. AI-generated transcripts and notes may contain errors or omissions. You are solely responsible for reviewing, correcting, and approving all documentation before it is used in patient care or entered into a medical record. Docipal does not provide medical advice, diagnosis, or treatment, and is not a substitute for professional judgment.

5. Patient consent and legal compliance

You are responsible for complying with all laws that apply to your use of the Service, including laws governing the recording of conversations (which may require patient consent in your jurisdiction) and health-information privacy laws. You must obtain any required consents before recording a visit.

6. Your data

You and your organization retain all rights to the clinical content you create with the Service. You grant us the limited rights needed to operate the Service (for example, to process audio into transcripts and notes). Our handling of personal information is described in our Privacy Policy. Where required, we will enter into a Business Associate Agreement with your organization.

7. Acceptable use

You agree not to:

• Use the Service in violation of law or the rights of others;
• Share accounts, circumvent seat licensing, or access another workspace’s data;
• Reverse engineer, scrape, or interfere with the operation or security of the Service;
• Upload malicious code or use the Service to build a competing product.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Docipal and its licensors. These Terms do not grant you any rights in the Service other than the limited right to use it in accordance with these Terms.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law. Upon termination, you may request an export of your workspace data within 30 days, after which we may delete it in accordance with our retention practices.

10. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or complete.

11. Limitation of liability

To the fullest extent permitted by law, Docipal will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for any claim arising out of the Service is limited to the amounts you paid us in the twelve months before the claim arose.

12. Indemnification

You will indemnify and hold Docipal harmless from claims arising out of your use of the Service in violation of these Terms or applicable law, including failure to obtain required patient consents.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and update the “Last updated” date; material changes will be communicated through the Service. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
